2. Merchant Responsibilities
2.1 Content: As a merchant on uMerce, you are responsible for the content you create, publish, or upload to our platform. You retain ownership of your content, but you grant uMerce a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content for the purpose of providing our services. You represent and warrant that you have the necessary rights and permissions to grant this license.
2.2 Compliance: You are responsible for ensuring that your use of uMerce complies with all applicable laws, regulations, and industry standards. This includes compliance with any laws or regulations governing the sale of specific products or services. You agree to provide accurate and truthful information about your products or services and to fulfill your obligations to customers in a timely manner.
2.3 Customer Service: As a merchant, you are responsible for providing customer service and support to your customers. This includes handling inquiries, order fulfillment, and resolving any issues or disputes that may arise. You agree to respond to customer inquiries and complaints promptly and in a professional manner.
3. Payments and Fees
3.1 Payments: uMerce provides payment processing services to facilitate transactions between merchants and customers. By using our payment services, you agree to the uMerce Payment Terms, which govern the processing of payments and related fees. You acknowledge that uMerce may use third-party payment processors to process transactions and that additional terms and conditions may apply.
3.2 Taxes: As a merchant, you are responsible for determining and collecting any applicable taxes on sales made through uMerce. You agree to comply with all tax laws and regulations in your jurisdiction. uMerce does not provide tax advice, and you should consult with a tax professional to determine your tax obligations.
4. Intellectual Property
4.1 Ownership: uMerce and its licensors retain all rights, title, and interest in and to the platform, including all intellectual property rights. You acknowledge that uMerce and its logo are trademarks of uMerce. You agree not to use uMerce' trademarks or any confusingly similar marks without our prior written consent.
4.2 Feedback: If you provide uMerce with any feedback, suggestions, or ideas regarding our platform or services, you grant us a non-exclusive, worldwide, royalty-free license to use, modify, and incorporate your feedback into our platform without any obligation to compensate you.
5. Termination
5.1 Termination by uMerce: uMerce reserves the right to suspend or terminate your account and access to our platform at any time and for any reason. We may do so without prior notice or liability. Termination may result in the loss of your content and access to certain features of uMerce.
5.2 Termination by Merchant: You may terminate your account at any time by contacting uMerce customer support. Upon termination, your account will be deactivated, and your content may be permanently deleted from our platform.
6. Limitation of Liability
6.1 Disclaimer: uMerce provides its platform and services on an "as is" and "as available" basis. We do not make any warranties or representations, express or implied, regarding the reliability, accuracy, or completeness of our platform or services. Your use of uMerce is at your own risk.
6.2 Limitation of Liability: To the fullest extent permitted by applicable law, uMerce and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising out of or in connection with these Terms or your use of uMerce.
